Service Terms
This Agreement is between Phakama Analytics, a division of SamWill Enterprises ("Phakama", "we", "us"), and the club identified on the Cover Page ("the Club", "you").
By signing the Cover Page, the Club confirms it has read, understood, and agreed to this Agreement.
1. What we will deliver
We will deliver the Phakama products that match the tier named on the Cover Page, on the cadence stated, for the duration of the service period named on the Cover Page. The tier-by-tier inclusions table is published on the Pricing section of phakamaanalytics.co.za and reproduced as Schedule A of the Cover Page.
Standard turnaround: match reports within 36 hours of footage upload, opposition reports 72 hours before each match. We may miss a turnaround in cases of force majeure, third-party tooling outage, or a footage upload that fails our quality threshold; in any such case, we will tell you within 6 hours of the breach and propose a remedy.
2. What you will provide
- Match footage uploaded to your Phakama Drive folder within 12 hours of full-time.
- A roster (player names, jersey numbers, positions) before your first match.
- A primary contact reachable by WhatsApp.
- Signed player consent forms for any player whose data we will store identifiably.
- Payment per Section 4.
3. Term and cancellation
This Agreement runs month-to-month. Either party may cancel at any time by sending a WhatsApp message to the contact number on the Cover Page. We will refund the unused portion of any month already paid for, on a pro-rata basis, within 14 days of cancellation.
There is no minimum term. There is no auto-renewal trap. We never lock you in.
4. Fees and payment
Monthly fee: as stated on the Cover Page, in South African Rand (ZAR), exclusive of VAT (Phakama is not currently VAT-registered).
Payment terms: invoice issued on the 1st of each month, due within 7 days, by EFT to the account on the invoice. Late payment incurs no penalty in the first 14 days; thereafter, services pause until the account is current.
Price increases: we will give you 60 days' written notice before any price increase. You may cancel without penalty during the notice period.
5. Data and privacy (POPIA)
You retain ownership of your match footage and any player data identifiable to your roster. We act as your operator for that data and process it strictly to deliver the services in this Agreement.
Phakama is registered with the Information Regulator. Our Information Officer is Ramone Samuels, contactable at popia@phakamaanalytics.co.za.
You agree to obtain a signed Player Consent Form for every player whose data we will store identifiably. We will not process player data identified by name and face for any purpose beyond your services unless you and the player both opt in to the anonymised player database.
Both parties will comply with the Protection of Personal Information Act, 2013 (POPIA).
6. Confidentiality
Every report, dossier and clip we deliver to you is exclusively yours. We do not share it with another club, journalist, agent, federation, or third party without your written permission. The only exceptions are (a) where we are compelled by law, and (b) anonymised aggregate metrics we may publish where no individual club, player, or match is identifiable.
7. Intellectual property
You own the data and the footage. We own the Phakama platform, models, prompts, and templates. The reports we deliver to you are licensed to you for unlimited internal club use. You may share extracts (e.g. on club social media) provided the Phakama logo and methodology footer are kept intact.
8. Quality and remediation
If a delivered report contains a factual error material to the match (wrong scoreline, wrong player named on a key event, xG implausible by an order of magnitude), tell us and we will issue a corrected report within 24 hours at no charge.
If you are not satisfied with our service in any 30-day period, you may cancel under Section 3 and request a full refund of that month's fee. We will not contest the refund.
9. Liability
Our liability under this Agreement is capped at the total fees paid by you to us in the 3 months prior to the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages, or for any team-selection, recruitment, or match-result outcome influenced by our reports — the gaffer's call is the gaffer's call.
10. Governing law
This Agreement is governed by South African law. Disputes the parties cannot resolve will be referred to mediation in Cape Town before any litigation.
